CONSTITUTION of ASIA-PACIFIC SOCIETY of FOOT AND ANKLE SURGEONS

NAME

The name of this association shall be the Asia-Pacific Society of Foot and Ankle Surgeons APSFAShereinafter referred to as the Society.

DOMICILE

The Society currently has its headquarters in ChongqingChina.

ORIGINS

The idea of the Asia-Pacific Society of Foot and Ankle Surgeons (APSFAS) was proposed by Dr. Kang-lai TANG, in conjunction with the Society’s advocates, Dr. Zheng-yi WANG, Dr. Bao-guo JIANG, and Dr. Guang-rong YU. The APSFAS concept received the full endorsement of all invited attendees during the 13th Annual Meeting of the Chinese Orthopedic Foot & Ankle Society COFAS and the Second International Symposium of Foot and Ankle Surgery, held October, 2009 in Chongqing,China and was supported by all the committee members of Chinese Orthopedic Foot & Ankle Society.

Attendance at the symposium boasted the largest number of foot and ankle surgeons in Asia and the most advanced theories and techniques for foot and ankle surgery from North America, Oceania, and Eastern Asia. Their combined expertise is a treasure chest of knowledge for the ankle and foot surgeons, and their patients in the Asia-Pacific region.

The APSFAS is to be formally established during the month of October, 2011. There will be no national delegates, only individual members.

OBJECTIVES

The Society is organized for the following purposes:

1 to advance and promote knowledge of foot-and-ankle health and diseases,

2 to encourage the advancement of research and study related to foot and ankle surgery, and

3 to improve clinical practice through teaching, increase awareness of health problems and promote the exchange of knowledge among foot and ankle surgeons in the Asia Pacific region.

DUTIES

The duties of the APSFAS shall be as follows:

       1 organizing and coordinating regular and occasional meetings,

       2 promoting and coordinating activities in the field of foot and ankle surgery,

       3 fostering research activities in the field of foot and ankle surgery, and

       4 producing regular publications, including a Newsletter.

MEMBERSHIP

The membership of the APSFAS consists of appropriately qualified professionals presently working in research or a health care field related to foot and ankle surgery, originating from the countries and areas in the Asia Pacific region. Members in the Society shall consist of three categories: Honorary Membership, Active Membership and Associate Membership.

Honorary Membership: Honorary membership is available to those who, yet not members of the Society, have served the Society well and have made important contributions to further the aims of the Society, or support the Society financially. Honorary members may participate in the businesses and scientific sessions of the Society, may vote and are eligible to receive printed publications from the Society. Honorary membership can be awarded by the Executive Committee.

Active Membership: An active member is an appropriately qualified professional presently working in research or health care related to the field of foot and ankle surgery. Active members also may participate in the businesses and scientific sessions of the Society, may vote and are eligible to receive printed publications from the Society.

Associate Membership: An associate member is a person in training in a field related to foot and ankle surgery. Associate members may participate in the businesses and scientific sessions, but they shall not be entitled to vote at meetings of the members of the Society and are not eligible to hold office in the Society, and are eligible to receive only electronic versions of publications.

Application for Membership: The application for membership must: 1 complete registration for membership on-line; 2 submit an application to the Secretary General. The official application may be downloaded on the official APSFAS website; 3 present a letter of recommendation from an active member, except for the founder members; and 4 have attended no less than one activity held by the APSFAS. Upon receipt of the completed application form together with a letter of recommendation from an active member excluding the founder members by E-mail or Fax, the Membership Committee shall consider the application and then decide whether to bestow membership. One may apply for the membership of the APSFAS free of charge upon having attended no less than one activity held by the APSFAS.

Cessation of Membership: Membership shall cease upon: 1 receipt of written notice of the member, in which case membership shall cease as of the first day of the following membership year; 2 expulsion in accordance with a resolution of and a written notice by the Executive Committee for actions inconsistent with the Constitution of the Society. The member has the right to file an appeal in writing with the Executive Committee.

STRUCTURE OF THE SOCIETY

Functioning of the Society:

There shall be an Executive Committee and five Permanent Committees, which shall determine the operations of the Society. Routine business shall be the responsibility of the Society’s President.The term of service for any position in the Society shall be three years.

Executive Committee:

The Executive Committee shall be the representative of the membership. The Executive Committee shall be composed of Consultants, President, Immediate Past-President, President-Elect, Vice Presidents, Secretary General, Treasurer, Chairs of Permanent Committee and Executive Members. The Executive Committee shall meet at least annually and it shall be convened by the President. A quorum consists of the actual physical presence of at least 50% of the Executive Committee plus authorized proxies bringing the total representation to at least 51%. The President shall preside at all meetings of the Executive Committee and the Annual General Meeting. The Immediate Past-President shall advise the President concerning Society business and will immediately become the President in the case of an emergency during the first year of the Presidency term. The President-Elect will immediately become President in the case of an emergency during the second year of the Presidency term. The President-Elect will serve out the remainder of the President's term of Office followed by his/her own normal term as President. Officers: The Executive Committee empowers the officers to direct and conduct the general activities and business of the Society, to report its activities to the Executive Committee by the Secretary General, and to produce regular publications, including a Newsletter. Permanent Committees:

There shall be five Permanent Committees: Program Committee, Membership Committee, Research Committee, Education Committee, and Finance Committee. The Chairs and members of the Committees shall be nominated by the Executive Committee.

Program Committee: The Chair of the Program Committee shall be the APSFAS President. The organizational structure consists of President, Secretary General, Treasurer, and other members. The Program Committee will organize a scientific meeting once per three years, as well as other occasional meetings. The president of the triennial scientific meeting will be appointed by Program Committee. The main role of the Program Committee shall include: 1 to develop an overall plan for the triennial scientific meeting; 2 to organize individual clinical and scientific sessions and to select speakers and Chairpersons; 3 to develop pre-meeting educational programs and workshops; 4 to liaise with other participating societies, the local committee and the organizing company; 5 to select abstracts for presentation; 6 to appoint referees for poster or oral presentation prizes or awards; 7 to ensure adequate advance advertising of the meeting in the journal and elsewhere; and 8 to solicit sponsorship and exhibits from regional offices of pharmaceutical, orthopedic equipment and other relevant companies.

Membership Committee: The Chair of the Membership Committee shall be the APSFAS Secretary General. It consists of local society presidents in the Asia Pacific region, honorary members, and other members. The Membership Committee, working in cooperation with the Executive Committee, is obliged to increase the number of individual and institutional members, ensure the retention of these members through the offering of services that meet their needs, and recommend ways to acknowledge new members and encourage participation in the APSFAS activities. The Membership Committee shall recommend candidates for the positions of Executive Committee and Permanent Committees.

Research Committee: The Chair of the Research Committee shall be the APSFAS Vice President, appointed by the Executive Committee. It consists of the senior committee, famous experts, and other members. The Research Committee shall supervise the scientific activities of the Society and promote research. The Committee may highlight and publicize specific areas of needed research, develop and recommend research awards and fellowships and develop application guidelines. The Committee will advocate increasing funding of foot and ankle research in the region.

Education Committee: The Chair of the Education Committee shall be the APSFAS Vice President, appointed by Executive Committee. The Education Committee shall develop and oversee all educational activities of the Society apart from the triennial scientific meeting, for which the Program Committee is solely responsible, and set up some international training centers. The Committee shall identify educational goals for the Society and develop a strategic plan for implementation. Educational activities shall be developed in close collaboration with the Local Societies where appropriate. The Committee shall liaise with similar relevant committees of other international societies to develop collaborative educational programs. 

Finance Committee: The Chair of the Finance Committee shall be the APSFAS Treasurer. The Finance Committee shall be in charge of reviewing the proper financial conduct of the affairs of the Society and is also expected to promote fund-raising activities to contribute to the stability of the Society.
